Welcome to FeedPilot. These Terms of Service ("Terms") govern your access to and use of our marketplace management services. Please read these terms carefully before using our services.

1. Acceptance of terms

By accessing or using FeedPilot's services, you agree to be bound by these Terms of Service and all applicable laws and regulations.
If you do not agree with any of these terms, you are prohibited from using our services.
We may update these terms from time to time. Continued use of the service after changes constitutes acceptance of the new terms.

2. Description of services

FeedPilot provides marketplace management services including product feed optimization, listing management, inventory synchronization, order processing, and customer communication handling.
We act as a service provider operating on your behalf. You retain ownership and control of your data and marketplace accounts.
Our services require you to grant us access to your e-commerce platforms and marketplace seller accounts. You are responsible for ensuring you have the right to grant such access.

3. Account responsibilities

You must provide accurate and complete information when creating an account and keep this information up to date.
You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
You must notify us immediately of any unauthorized access or security breach.
You must be at least 18 years old and have the legal authority to enter into these terms on behalf of yourself or your organization.

4. Acceptable use

You agree to use our services only for lawful purposes and in accordance with these terms.
You will not use our services to violate any marketplace policies, terms of service, or applicable laws.
You will not attempt to gain unauthorized access to our systems or interfere with the proper operation of our services.
You will not use our services to transmit harmful, fraudulent, or deceptive content.

5. Fees and payment

Fees for our services are as described on our pricing page or in your service agreement. All fees are in the currency specified.
Payment is due according to the billing cycle agreed upon. We may suspend services for non-payment.
We reserve the right to change our fees with reasonable notice. Price changes will not affect existing billing periods.
You are responsible for all taxes associated with your use of our services, except for taxes based on our net income.

6. Data and intellectual property

You retain all rights to your data. You grant us a limited license to use your data solely to provide our services.
We retain all rights to our platform, software, and intellectual property. Nothing in these terms transfers ownership to you.
Feedback and suggestions you provide may be used by us to improve our services without obligation to you.

7. Third-party services

Our services integrate with third-party platforms (marketplaces, e-commerce systems, etc.). Your use of those platforms is governed by their respective terms.
We are not responsible for the availability, accuracy, or policies of third-party services.
Changes to third-party APIs or policies may affect our ability to provide certain features.

8. Service availability

We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.
We may modify, suspend, or discontinue features with reasonable notice. We will not be liable for any modification, suspension, or discontinuation.

9. Limitation of liability

To the maximum extent permitted by law, FeedPilot shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
Our total liability for any claims arising from these terms or your use of our services shall not exceed the fees you paid in the twelve months preceding the claim.
Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the maximum extent permitted.

10. Indemnification

You agree to indemnify and hold harmless FeedPilot and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

11. Termination

Either party may terminate these terms at any time with written notice. Upon termination, your right to use our services ceases immediately.
We may suspend or terminate your access immediately if you breach these terms or if required by law.
Upon termination, you may request export of your data within 30 days. After this period, we may delete your data.
Sections regarding intellectual property, limitation of liability, indemnification, and governing law survive termination.

12. Governing law

These terms are governed by the laws of the jurisdiction in which FeedPilot operates, without regard to conflict of law principles.
Any disputes arising from these terms shall be resolved through binding arbitration or in the courts of the applicable jurisdiction.
